Laser Technician and Laser Light Company have entered into a professional relationship that requires the following terms for the mutual protection and satisfaction of both parties.
1. The Laser Technician acknowledges that he/she will acquire considerable knowledge and expertise from Laser Light Company as well as from vendors, subcontractors, and other laser technicians while carrying out their job duties. Furthermore, the Laser Technician acknowledges that he or she may be able to use such knowledge in a manner detrimental to Laser Light Company. Therefore, the Laser Technician agrees to the following:
o For a period of 24 months after the end of this work agreement, the Laser Technician will not approach, solicit, or poach any customer, affiliate, or business partner of Laser Light Company for the purposes of business arrangements in competition with Laser Light Company’s line of business. Additionally, the Laser Technician will not share or disclose any proprietary knowledge or confidential information gained during their tenure with Laser Light Company to any competitor.
o For a period of 24 months following the end of this work agreement, the Laser Technician will not approach, entice, solicit, or contact any individual employed by Laser Light Company for the purposes of offering employment.
o The Laser Technician agrees that all provisions are fair and just. If any provision is voided at any time or point, all other provisions shall remain in effect.
o The Laser Technician acknowledges that any breach of this contract will be subject to court rulings in the Company State for direct and indirect damages.
o Any notice required or pertaining to this agreement shall be made in writing and delivered either personally or by certified letter to the receiving party.
o The terms and conditions included constitute the entire agreement between the parties and supersede any previous oral or written communications between either party.
